Vendor Path

Vendor selects one of the following (check one below):

Dedicated Vendor Space$2.00 per square foot, per month, plus 15% commission on gross sales of Vendor’s merchandise. Standard space footprint is 4×4 ft; taller displays are allowed provided they use a sturdy shelf, do not block aisles, and do not block sightlines within the store.

Consignment / Floor PlacementNo space fee. Horn & Hollow merchandises the item on the sales floor. Commission is 35% of the gross sale price.

Term

This agreement is month-to-month. Either party may end it at any time with no minimum commitment.

Restocking (Dedicated Vendor Space only)

Vendor is expected to visit weekly to restock and maintain their space. If a space has not been restocked or updated by Saturday at 5:00 PM, Horn & Hollow may rearrange the space and will charge a $7 fee to Vendor's account.

Payment of Proceeds

Horn & Hollow will remit Vendor's share of proceeds (sale price less applicable commission, and less any outstanding fees) on the 1st of each month, for sales from the prior month.

Tags & Hangers

Vendor may use their own tags/hangers at no charge. If Vendor uses Horn & Hollow's supplies (Dedicated Vendor Space only), the following fees apply: $0.25 per tag, $0.50 per hanger.

Returns

Customer returns are accepted within 7 days of purchase for store credit only.

Vendor Merchandise — Risk of Loss

Vendor's merchandise is displayed and sold at Vendor's own risk. Horn & Hollow is not liable for loss, theft, or damage to Vendor's merchandise, absent gross negligence by Horn & Hollow.

Permits & Licenses

Vendor is solely responsible for obtaining and maintaining any permits or licenses required to sell their goods.

Promotion

Both parties agree to promote each other in good faith (e.g., social media mentions, cross-promotion). No specific numeric requirement applies.

No Employment Relationship

Vendor is an independent contractor and is not an employee, partner, joint venturer, or agent of Horn & Hollow. This agreement does not create any employment relationship, and Vendor is not entitled to any employee benefits.

Prohibited Items

Vendor may not display or sell counterfeit goods, recalled or hazardous items, illegal items, or items that infringe on another party's intellectual property. Horn & Hollow may refuse or remove any item at its discretion, including for safety, quality, or space concerns.

Indemnification

Vendor agrees to indemnify and hold harmless Horn & Hollow LLC, its owner, and staff from any claims, damages, or liability arising from Vendor's merchandise, including but not limited to product defects, injury, or intellectual property claims related to Vendor's goods.

Limitation of Liability

Horn & Hollow's total liability to Vendor under this agreement, if any, is limited to the amount of fees paid by Vendor in the month the claim arose. Horn & Hollow is not liable for indirect, incidental, or consequential damages.

Photo & Marketing Use

Horn & Hollow may photograph or film Vendor's merchandise and display space for use in store marketing, social media, and promotional content, without additional compensation to Vendor.

Termination for Cause

In addition to standard month-to-month termination, Horn & Hollow may terminate this agreement immediately for violation of store policies, repeated non-payment of fees, or prohibited items.

Governing Law

This agreement is governed by the laws of the State of Ohio. Any disputes will be resolved in the state or federal courts located in Fulton County, Ohio.

Entire Agreement

This agreement, along with any amendments made in writing and signed by both parties, represents the entire understanding between Vendor and Horn & Hollow regarding this arrangement.
